Ordinary Business
3. To receive and consider the audited accounts for the financial year ended 30 September 2007 and the report of the directors and of the auditors, as included in the 22nd March edition of the British Dental Journal.
4. To reappoint BDO Stoy Hayward, chartered accountants, as auditors and to authorise the Executive Board to fix their remuneration
5. To consider and, if thought fit, to pass the following resolutions recommended to the meeting by the Representative Body:
- That Dr John Drummond be elected President for 2009 – 2010
- That the 2009 Annual General Meeting be held at 9.30am on Thursday 4th June 2009 in the Lomond Auditorium of the Scottish Exhibition Conference Centre, Glasgow
6. To consider and, if thought fit, approve (on recommendations of the Representative Body), changes in the provisions for the Central Committee for Community and Public Health Dentistry, Central Committee for Dental Academic Staff, Central Committee for Hospital Dental Services, General Dental Practice Committee, and the Scottish Dental Practice Committee, as detailed in Appendix A.

Appendix A
Pursuant to section 9(1) of the Companies Act 1985 and sections 283(1) and 283(4) to (6) of the Companies Act 2006 and Article 79 of the Articles of Association of the British Dental Association, notice is hereby given that a vote will be held to consider (on recommendation of the Representative Body) and if thought fit, pass the following changes to the Memorandum and Articles of Association of the British Dental Association and the By-Laws thereto:
1. That within the Memorandum and Articles of Association and By-Laws thereto, all references to "Central Committee for Community and Public Health Dentistry" be replaced by "Salaried Dentists Committee" and all references to "CCCPHD" be replaced by "SDC".
2. That in By-Law 16(2), the heading "Central Committee for Community and Public Health Dentistry" be replaced by "The Salaried Dentists Committee".
3. That in By-Law 16(2), the paragraph headed "Voting Members" be deleted and replaced by the following paragraph:
"For the purposes of the elections clinicians (e.g. Band A, B and C specialist clinicians), or Band C managerial dentists are dentists working in a Trust based Personal Dental Service or Primary Care Trust Dental Service or Community Dental Service, or are NHS salaried staff working in a non NHS body such as a Social Enterprise and are providing NHS primary dental care and are not employed on Hospital Medical and Dental terms and conditions, university terms and conditions or in the armed forces".
4. That in By-Law 16(2), under the heading "The Committee will comprise" the reference to "thirty seven" shall be replaced by "thirty six".
5. That in By-Law 16(2), after the paragraph headed "The Committee will comprise" and before the paragraph headed "Clinical Representatives", the following words be inserted:
"The Salaried Dentists Committee will elect an Executive Sub-Committee normally consisting of:
- The Chair
- The Vice-Chair
- Three Clinical Representatives
- One Clinical Director Representative
The above are to be elected by all Voting Members of the Salaried Dentists Committee.
- One member elected to the Salaried Dentists Committee from Scotland selected by the Scottish Committee for Community and Public Health Dentistry
- One member elected to the Salaried Dentists Committee from Wales selected by the Welsh Sub-Committee
- One member elected to the Salaried Dentists Committee from Northern Ireland selected by the Northern Ireland Sub-Committee for Northern Ireland.
6. That in By-Law 16(2), under the heading "Clinical Representatives", the words "sixteen Clinical Representatives" be replaced by "twenty three Clinical Representatives in total with,".
7. That in By-Law 16(2), under the heading "Clinical Representatives" in the first line, the words "one representative per group of" be replaced by "two Clinical Representatives from each of the".
8. That at the end of the "Clinical Representatives" paragraph of By-Law 16(2), the following words be inserted:
"To be elected from Bands A, B and C, specialist clinicians".
9. That throughout the "Clinical Representatives" paragraph of By-Law 16(2), the reference to "clinical representatives" be replaced by "Clinical Representatives".
10. That in the "Clinical Director Representatives" paragraph of By-Law 16(2), in the first line, the words "eight clinical directors or assistant clinical directors one per group of" be replaced by the following words:
"thirteen Clinical Director Representatives in total with one Clinical Director Representative from each of the".
11. That in By-Law 16(2), in the paragraph headed "Clinical Director Representatives" all references to "Clinical Director" be replaced by the words "Clinical Director Representatives" and all references to "or Assistant Clinical Director" be deleted.
12. That at the end of the "Clinical Director Representatives" paragraph of By-Law 16(2), the following words be inserted:
"To be elected from Band C managerial dentists".
13. That in By-Law 16(2), in the paragraph headed "Dental Public Health Representatives" be deleted.
14. That in By-Law 16(2), the paragraph headed "Non-Voting Members", the reference to "the Chair and Vice-Chair" be replaced by "the Chair or Vice-Chair (one to attend, one as deputy)" and the words ", if not members of the committee" be deleted.
15. That in By Law 16 (2) at the end of the paragraph headed "Non Voting Members" insert the words: "one member from the Students Committee"
16. That in the "quorum" paragraph of By-Law 16(2), after the word "twelve" the following words be inserted: "Voting Members".
17. That in the "Remit" paragraph of By-Law 16(2), the first sentence be deleted and the following words be inserted:
"Subject to the authority of the Representative Body, which will be renewable annually, the Salaried Dentists Committee is the autonomous professional Committee for dentists employed in the NHS Salaried Primary Dental Care Services, excluding those employed on Hospital and Medical Dental conditions of service, those employed under university terms and conditions and in the armed forces".
18. That in the "Remit" paragraph of By-Law 16(2), the reference to "CCCPHD" be replaced by "The Salaried Dentists Committee".
19. That in the "Remit" paragraph of By-Law 16(2), in the eleventh line after the words "NHS salaried" and before the words "dental services", the word "primary" be inserted.
20. That at the end of the "Remit" paragraph of By-Law 16(2) after the word "service", the following words be inserted:
"university terms and conditions and those employed in the armed forces".
21. That at the end of By-Law 16(2), the following words be inserted:
"Chair and Vice-Chair: the Salaried Dentists Committee shall elect a chair and a vice-chair at the start of each calendar year. Clinical Representatives and Clinical Director Representatives are eligible for election to the two posts. These two posts cannot be occupied by two Clinical Representatives or two Clinical Directors. The term of office for these officers will normally be a maximum of six consecutive years."
22. That at the end of By-Law 16(2), the following words be inserted:

23. That in By-Law 16(3) ("Remit") after the words "affecting those engaged in hospital" and before the words "dental practice including", the following words be inserted;

24. That in By-Law 16(3) ("Remit"), after the words "watch the interests of all hospital" and before the words "dental staff in relation to" the following words be inserted:
"and consultant led"
25. That in By-Law 16(3) ("Membership"), in the first line the word "Hospital Staff" be deleted and replaced with the word "Staff".
26. That in By-Law 16(3) ("Membership"), the words be deleted "three sessions per week who" be deleted and replaced by the following words: "fifty percent of their contracted time. They will".
27. That in By-Law 16(3) ("Membership"), the words "and trainees in the specialist registrar grade shall" be deleted and replaced by the following words: "or trainee grades, will".
28. That in By-Law 16(3) ("Membership"), the words "one member holding a consultant contract nominated from the RCHDS in each Deanery in England" be deleted and replaced by the following words:

29. That in By-Law 16(3) ("Membership"), the words "one member holding a consultant contract nominated by the Welsh Committee for Hospital Dental Services" be deleted and replaced by the following words:
"One member holding a consultant contract nominated by the Welsh Subcommittee or equivalent of the Central Committee for Hospital Dental Services".
30. That in By-Law 16(3) ("Membership"), the words "one representative nominated by the consultant dental staff of the London dental teaching hospitals through the Association of Dental Hospitals" be deleted and replaced by the following words:
"One member nominated by Consultants in Dental Public Health in England".
31. That in By-Law 16(3) ("Membership"), the words "one representative nominated by the consultant dental staff of the provincial dental teaching hospitals through the Association of Dental Hospitals" be deleted and replaced by the following words:
"One representative nominated by the consultant dental staff through the Association of Dental Hospitals".
32. In By-Law 16(3) ("Membership"), the words "three representatives of the non-consultant career grades at least one of whom should be an associate specialist and one should be a staff grade" be deleted and replaced by the following words:
"Three representatives of the Staff and Associate Specialist grades".
33. That in By-Law 16(3) ("Membership"), the words: "Five representatives of higher specialist trainees in hospitals (Specialist Registrar grade)" be deleted and replaced by the following words:
"Six representatives of higher specialist trainees (Specialist Registrar grade)".
34. That at the start of By-Law 16(3) ("Non-voting members") the following words be inserted:
"One member nominated by the British Medical Association Junior Doctors' Committee.
One member nominated by the British Medical Association Staff and Associate Specialists' Committee."
35. That in By-Law 16(3) ("Non-voting members") the words "British Medical Association" be inserted after "One member nominated by the" and before "Central Consultants and Specialists".
36. That in By-Law 16(3) ("Non-voting members") the words "General Dental Practice Committee" be replaced by the following words:
"General Dental Practitioners' Committee, Central Committee for Dental Academic Staff".
37. That in By-Law 16(3) ("Non-voting members") the following words be deleted:
"One clinical dental teacher member nominated by the Central committee for Dental Academic Staff".
38. That at the end of By-Law 16(3) (Non-voting Members") the following words be inserted:
"Casual vacancies will be filled as appropriate by election if they occur during the triennium".
39. That at the end of By-Law 16(3) ("Non-voting members") and before the "Quorum" paragraph, the following be inserted:
"Officers:
A Chair and Vice-Chair will be elected by the main committee at the first meeting of the triennium or by postal ballot. The Chair and Vice-Chair will be subject to annual election. The term of office for both will normally be up to a maximum of six years.
Staff and Associate Specialists:
CCHDS representatives from the Staff and Associate Specialist grades will be elected from Staff and Associate Specialist members. Where feasible, the election will be held on a national basis, through national meetings, ideally from more than one speciality.
Training Grades:
There are six representatives from the training grades. One representative each from the training grades committees of oral and maxillofacial surgery, orthodontics, restorative dentistry, paediatric dentistry, dental public health and the additional dental specialties (which include oral and maxillofacial radiology, oral pathology, oral medicine and oral microbiology). All representatives on the Committee should be prepared to represent the interests of other training grade specialities not currently represented on the committee taking speciality advice as far as possible and remembering the ability of the committee to co-opt if necessary for specific issues.
All elected representatives on the CCHDS may be elected to serve as cross representatives from the CCHDS on other committees and working parties.
Executive Committee:
The membership of the Executive Committee is as follows:

One CCHDS consultant representative from England
One CCHDS consultant representative from Scotland
One CCHDS consultant representative from Wales
One CCHDS consultant representative from Northern Ireland

Four CCHDS consultant representatives elected by the other voting members on the full committee
The Executive Committee has the power to co-opt other individuals onto the Executive Committee.
A deputy from CCHDS can be sent to Executive Committee meetings.
The Executive Committee is elected from CCHDS at the beginning of the triennium and for its duration.
Meetings:
There will be two meetings of the full CCHDS a year and four meetings of the Executive Committee a year. Not less than eight weeks' written notice will be given for each meeting."
40. That at the end of By-Law 16(3) the following words be inserted:
"Alteration to the Constitution:
Any formal motion to vary the Constitution will be considered at the next full CCHDS meeting and requires a 51% vote for any change to be passed. A copy of the Constitution, and the proposed changes, will be circulated to the members of the CCHDS by the Committee secretary prior to the next meeting. If there is a question of doubt the matter should be referred to the secretary of the CCHDS. At all times this Constitution is covered by the Articles and By-Laws of the British Dental Institution."
41. That in By-Law 16(4) ("Membership") in the third bullet point, the reference to "one" in the first and second lines be deleted and replaced by the word "two" in both cases, and at the end of the third bullet point, the following sentence to be inserted:
"Only one representative from each school may attend committee meetings".
42. That in By-Law 16(4) ("Membership"), in the fourth bullet point, the words "nominations would be sought from each undergraduate dental teaching school and from each of the Post-graduate Dental Institute(s) and" be deleted and replaced by the following words:
"A representative will be sought".
43. That in By-Law 16(4) ("Membership"), in the sixth bullet point, after the words "representative employed on a" and before the words "non-clinical contract" the following words be inserted:
"basic science".
44. That in By-Law 16(4) ("Membership"), in the sixth bullet point, after the words "non-clinical contract" and before the words "elected by dental teachers" the following words be inserted:
"A representative will be sought from the Association of Basic Science Teachers in Dentistry".
45. That in By-Law 16(4) ("Membership"), in the seventh bullet point, the reference to "2" in the first line be replaced by the word "one"
46. That in By-Law 16(4) that after the "Membership" paragraph and before the "Quorum" paragraph, the following words shall be inserted:
"Chair and Vice-Chair: The Central Committee for Dental Academic Staff shall elect a chair and vice-chair at the start of each calendar year. The term of office of these officers will normally be a maximum of six consecutive years.
Executive Sub-Committee: The Central Committee for Dental Academic Staff will normally elect an Executive sub-committee consisting of ten, two of whom will be the Chair and Vice-Chair."
47. That in By-Law 16(4) ("Quorum"), after the word "Twelve" the following words be inserted: "voting members"
48. That in By-Law 16(4) ("Remit"), after the words "which shall be renewable annually" and before the words "to consider and to deal with all matters", the following words be inserted:
"The Central Committee for Dental Academic Staff is the autonomous professional committee".
The comma thereafter shall be deleted.
49. That in By Law 16 (5), after the words "ex officio members of the council," delete the figure "59" and insert the figure "60"
50. That in By-Law 16(10) ("Remit"), the words "non salaried" be inserted after the words: "To represent all" and before the words "general dental practitioners", and for the words "including assistants" to be inserted after the words "general dental practitioners" and before the words "in Scotland"
51. That in By-Law 16(10) ("Remit") the words "Primary Care Trusts and the Scottish Executive Health Department" be deleted and replaced by the words: "Community Health Partnerships and the Scottish Government Health Directorates and other appropriate bodies"
52. That in By-Law 16(10) ("Remit") the words "general dental practitioners working in the NHS in Scotland" be deleted and replaced by the words "dental services provided by non salaried general dental practitioners working in Scotland"
53. That in By-Law 16(10) ("Remit") the following words be deleted ", and send representatives to,"
54. That in By-Law 16(10) ("Membership"), in the first line the words "re-nominated or" be deleted and at the end of the first sentence after the full stop the following words be inserted:
"Any general dental practitioner working in general dental practice in Scotland – in the NHS general dental service, in private practice, or in both – will be eligible to vote."
55. That in By-Law 16(10) ("Membership") after the words "The membership shall consist of:" the next paragraph be deleted and replaced with the following words:

56. That in By-Law 16(10) ("Membership") the reference to "SDPC" which appears before "Constituency will have two voting members" be deleted and reference to "and Argyll" in the same paragraph be deleted.
57. That in By-Law 16(10) the sub-heading "Non-voting Members – Young Dentist" under "Membership" the words "under 35 years old" be deleted and replaced by the following words:
"who has been dentally qualified for less than 12 years"
58. That in By-Law 16(10) ("Officers") the reference to "reconstituted committee" be deleted and replaced by "triennium"
59. That in By-Law 16(10) ("Executive Sub-Committee") the words "reconstituted committee" in the first line be deleted and replaced by the word "triennium" and the words "3 years. Three" in the third line be deleted and replaced by the words "as long as they hold office. Four"
60. That at the end of the first paragraph in By-Law 16(10) ("Executive Sub-Committee") the following words be inserted before the full stop:
